Terms of Service

These Terms of Service ("Terms") outline the general terms that apply to bookkeeping and related services provided by Miya B Bookkeeping. Specific engagements are governed by a separate written engagement letter or agreement, which will control in the event of conflict.
1. Services Provided
Miya B Bookkeeping provides bookkeeping and related support services, including monthly bookkeeping, cleanup and catch-up engagements, account reconciliation, financial reporting, payroll coordination, software setup, and personal financial organization. We do not provide legal, tax, audit, or investment advice.
2. Client Responsibilities
To perform services accurately and on time, the client agrees to:
- Provide complete and accurate information, documentation, and access as reasonably requested;
- Respond to inquiries in a timely manner;
- Review financial reports and notify us of any discrepancies promptly;
- Maintain ultimate responsibility for the accuracy of financial information and for decisions made based upon it.
3. Access to Financial Systems
For certain services, we may request view-only financial access to accounts or accountant-level access within accounting systems such as QuickBooks Online. We will not request or use the ability to move funds. Access is documented and limited to what is necessary for the engagement.
4. Fees and Payment
Fees are outlined in your engagement letter or proposal and may be structured as monthly flat-rate, quarterly, project-based, or per-transaction. Invoices are due upon receipt unless otherwise specified. Late payments may incur service suspension and a reasonable finance charge.
5. Confidentiality
We maintain the confidentiality of client information and use it solely to perform the engagement and meet professional obligations. Information may be disclosed as required by law or with the client's authorization.
6. Engagement Term and Termination
Monthly engagements continue month-to-month following onboarding. Either party may terminate with reasonable written notice as specified in the engagement letter. Upon termination, we will provide an orderly handoff of records and deliverables through the termination date, subject to settlement of outstanding fees.
7. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to services provided shall be limited to the fees paid for the services giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.
8. Independent Contractor
Miya B Bookkeeping provides services as an independent contractor. Nothing in these Terms or any engagement creates an employment, partnership, agency, or joint venture relationship.
9. Electronic Communications and Records
We may communicate and exchange records electronically. You consent to receive invoices, reports, and notices by email or through agreed digital platforms.
10. Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the state or federal courts located in Florida.
11. Modifications
We may modify these Terms at any time by posting an updated version. Continued use of our services after modification constitutes acceptance of the updated Terms.
